1. Definitions

In these Terms and Conditions, the following terms carry the meanings set out below:

2. Acceptance of Terms

By accessing our Website or engaging our Services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions. If you are engaging on behalf of an organisation, you confirm that you have the authority to bind that organisation to this Agreement.

These terms apply to individuals and organisations aged 18 or above. We do not knowingly provide services to those without legal capacity to enter a binding agreement.

3. Service Description

Wawasan AI provides the following AI consulting and training services to businesses and organisations in Malaysia and regionally:

Full service descriptions are available on our Solutions page. Service availability and scope are subject to mutual agreement prior to commencement. We reserve the right to decline an engagement if it falls outside our areas of capability.

4. User Responsibilities

Acceptable use

You agree to use our website and services for lawful purposes only. You must not:

Cooperation and disclosure

For effective service delivery, you agree to provide accurate information about your organisation, workflows, and data infrastructure during any assessment or consulting engagement. Inaccurate or withheld information may affect the quality of deliverables, and Wawasan AI shall not be liable for outcomes arising from such circumstances.

5. Intellectual Property

All methodologies, frameworks, templates, and general knowledge assets developed by Wawasan AI remain the intellectual property of Wawasan AI. Upon full payment of fees, you are granted a non-exclusive, non-transferable licence to use the specific deliverables produced for your engagement for your internal business purposes.

You may not:

Data, documents, and information you share with us during an engagement remain your property. We will not use your organisation's data for any purpose beyond delivering the agreed service.

6. Payment Terms

Pricing and currency

All prices are denominated in Malaysian Ringgit (RM) and inclusive of applicable taxes unless stated otherwise in a service proposal. Published prices are indicative and final pricing may be confirmed in a written engagement proposal.

Payment schedule

Unless otherwise agreed in writing:

Refund policy

Cancellations made more than 10 business days before a scheduled engagement will receive a full refund of any deposit paid. Cancellations within 10 business days may be subject to a 25% administrative fee. Once work has commenced on assessment or roadmap engagements, deposits are non-refundable. Workshop fees paid in full are non-refundable within 5 business days of the session.

Late payment

Outstanding invoices not settled within 30 days of the due date may incur a late payment charge at a rate consistent with Malaysian commercial practice.

7. Service-Specific Terms

AI Readiness Assessment

The assessment report reflects conditions at the time of the evaluation. It is intended as an advisory document to support planning decisions, not a technical specification or implementation contract. Wawasan AI is not responsible for outcomes arising from decisions made independently based on the report.

Machine Learning Workshop

Workshop content is prepared based on information you provide about your team and industry context. You are responsible for ensuring participants attend the session in a suitable environment. Rescheduling is available with at least 5 business days' notice, subject to trainer availability.

Custom AI Strategy Roadmap

The roadmap is a planning and advisory document. Wawasan AI does not guarantee specific business outcomes from implementing the roadmap. Quarterly review checkpoints included in the engagement are advisory sessions, not ongoing managed services.

8. Disclaimers

Our services are provided in good faith based on information available at the time of engagement. Wawasan AI makes no warranties, express or implied, that implementation of any recommendation will produce specific commercial results. The AI consulting field involves rapidly evolving technology, and recommendations reflect the state of knowledge at the time of delivery.

Our website and its content are provided on an "as available" basis. We do not warrant that the site will be uninterrupted or error-free.

9. Limitation of Liability

To the fullest extent permitted under Malaysian law, Wawasan AI's total liability in connection with any engagement shall not exceed the total fees paid by you for the specific service giving rise to the claim.

We are not liable for:

10. Termination

Either party may terminate an engagement with written notice if the other party materially breaches this Agreement and fails to remedy the breach within 14 days of written notice. Upon termination, you remain liable for fees corresponding to work completed up to the termination date. Intellectual property provisions and liability limitations survive termination.

11. Dispute Resolution

We value long-term relationships and encourage parties to resolve any disputes informally in the first instance. Please contact us at [email protected] to initiate a discussion.

If informal resolution is not achieved within 30 days, disputes shall be referred to the courts of Malaysia, which shall have exclusive jurisdiction. These Terms are governed by the laws of Malaysia.

12. General Provisions

13. Changes to Terms

We may update these Terms and Conditions periodically to reflect changes in our services, practices, or legal requirements. Material changes will be communicated via our website and, where appropriate, by email to existing clients. Continued use of our services following any update constitutes acceptance of the revised terms.
